Diodes Inc. completes $151 million BCD acquisition
Diodes Incorporated, has completed its acquisition of BCD Semiconductor Manufacturing Limited (BCD) in an all cash deal, valued at approximately $151 million.
Diodes Incorporated (Diodes) is a global manufacturer and supplier of high-quality application specific standard products within the broad discrete, logic and analogue semiconductor markets. Diodes serves the consumer electronics, computing, communications, industrial, and automotive markets.
BCD is an analogue integrated device manufacturer, or IDM, based in China. The firm specialises in the design, manufacture and sale of power management integrated circuits. BCD's product portfolio targets primarily rapid growing, high volume market segments such as mobile phones, LCD televisions and monitors, personal computers, adapters and chargers.
Under the terms previously announced, each ordinary share, par value $0.001 per share, of BCD, including shares represented by American Depository Shares (ADSs), has been converted into the right to receive cash. Each ADS represents six shares and has been converted into the right to receive $8.00 in cash, without interest.
