Semilab to acquire SSM

Semilab Co. Limited and SSM Incorporation, both manufacturers of materials metrology solutions to the semiconductor and solar industries, have announced that they have jointly signed a letter of intent whereby Semilab will acquire SSM.

The deal will be structured as a purchase of the majority of SSM shares for an undisclosed cash amount, and the transaction is expected to close before the end of the first quarter 2008. Following the acquisition, SSM will become a new division of Semilab and will have responsibility for the development, manufacturing, and marketing of electrical metrology solutions for the semiconductor market worldwide. The SSM Division will continue as a U.S. registered legal entity housed in existing facilities in Pittsburgh, Pennsylvania.

The SSM Division will provide continuity of support for all SSM products and will also develop new products in cooperation with the European based parent company. Worldwide sales and support organisations will be integrated, and Semilab will retain key executives of SSM within the new organisation.

 Robert Mazur, founder and retiring Chairman of the Board of SSM commented, "Having SSM's precision contacting metrology and Semilab's non-contacting mapping metrology available from the combined organisation will create the most complete electrical metrology offering for the semiconductor industry. Collaboration between our engineering groups will also accelerate our time to market for new products".

Dr. Tibor Pavelka, founder, President and Chief Executive Officer of Semilab commented, "Following this latest acquisition Semilab will have increased market and technology development opportunities and therefore be better able to provide the sales and service support to our global customer base. The acquisition is an integral part of Semilab's strategy to become one of the largest suppliers of specialised semiconductor silicon electrical measurement equipment in the world".
